A Day Back Terms and Conditions
Website and business AI services
Version October 9 2026
1 Agreement and scope
These Terms and Conditions govern the website at adayback.ai and the AI implementation, configuration, training, and ongoing technology services offered by A Day Back LLC (“A Day Back,” “we,” “us,” or “our”). “You” means the person using the website or the business purchasing services, as applicable.
You accept these Terms when you affirmatively agree to them, including through an acceptance checkbox or a signed service order that incorporates them. You must be at least 18 and have authority to bind the business you represent. Browsing the website, submitting an inquiry, or requesting a consultation does not purchase services or enroll you in a subscription.
A signed or electronically accepted proposal, statement of work, or checkout summary (an “Order”) identifies the contracting parties, scope, deliverables, fees, service dates, and any additional terms. A specifically negotiated provision in an Order controls a conflict with these Terms. A signed data processing agreement controls a conflict about personal data. An Order does not, by itself, remove an advertised guarantee applicable to your purchase.
2 Services and project scope
We deploy and configure AI agents and workflows for business tasks within the systems and permissions agreed with you. References to an “AI employee” describe software capabilities and do not create an employment relationship or promise a complete replacement for a human role.
The initial launch package includes four meetings totaling five hours: one two-hour kickoff meeting, followed by three one-hour meetings at weekly intervals. Each follow-up is scheduled one week after the preceding meeting, unless we agree with you to reschedule. The package covers one scoped role or workflow, discovery, agreed system connections, configuration, testing, and team handoff. Deliverables depend on the Order, system access, complexity, and your team’s readiness.
Additional roles, departments, locations, integrations, substantial changes, or expansions require a separate written scope and price accepted before the additional work begins. We do not promise compatibility with every software product or edition.
3 Fees and equipment
Unless your Order states otherwise, initial implementation starts at $14,995, payable at checkout. Ongoing technology service includes a free introductory month, defined as the first 30 days from enrollment, followed by $599 per month beginning in month two. The paid service term starts on the first scheduled $599 billing date and consists of 12 monthly installments totaling $7,188. The free introductory period is additional to, and does not count toward, those 12 paid months. All amounts are in US dollars. Your accepted Order fixes the actual price and payment schedule; later website price changes do not change an existing commitment.
Equipment is excluded from the implementation fee. Budget approximately $1,500 to $2,500 initially, subject to confirmed requirements and current supplier pricing. Hardware purchases, rentals, ownership, warranties, and any return obligations must be stated separately. These Terms do not give us ownership of customer equipment.
Third-party software, model subscriptions, API usage, messaging, and similar provider charges are separate and generally paid by you directly. The $100 to $150 monthly estimate is a planning estimate, not a spending cap. You also pay applicable transaction taxes, excluding taxes on our income. We will disclose any charges we collect before you accept them.
4 Payment authorization
Invoices and recurring charges follow the schedule accepted in your Order. For the standard launch package, the implementation fee is charged at checkout, no ongoing technology service fee is charged during the first 30 days, and the first $599 service payment is due when that introductory period ends. Subsequent service payments are due monthly on the billing schedule shown at checkout. Recurring payment authorization must identify the amount or calculation method, billing frequency, exact first charge date, free introductory period, and paid commitment period before payment details are collected. Payment processors may apply their own terms and privacy notices.
The 12-month commitment is an annual service obligation paid in monthly installments. Canceling a payment authorization does not, by itself, cancel a valid contractual balance. An inquiry, a stored payment method, or acceptance of these Terms alone does not authorize an undisclosed charge.
Keep billing information current and contact us promptly about billing errors. We may suspend affected services for overdue, undisputed amounts after written notice and at least 10 days to resolve the issue. No additional penalty, collection fee, or acceleration of future installments applies unless separately agreed and lawful. Nothing limits payment dispute rights provided by law.
5 Subscription term and cancellation
The ongoing technology service includes a free introductory month of 30 days from enrollment. The initial 12-month paid agreement begins on the first scheduled $599 billing date immediately after that period and is billed in 12 monthly installments, totaling $7,188 unless your accepted Order expressly sets a different price. Monthly billing does not make this a month-to-month agreement. The free introductory period does not shorten the paid commitment or reset the initial launch guarantee. At the end of the 12-month paid term, measured from that first scheduled paid billing date, and at the end of each renewal term, the service automatically renews for another 12 months unless either party gives written notice of nonrenewal before the current term ends. Each renewal is a new 12-month commitment billed monthly, subject to the renewal disclosures and pricing provisions below. The free introductory month applies only to initial enrollment and does not repeat at renewal. Termination rights under sections 7 and 18 and applicable law remain available.
You may request cancellation or nonrenewal at any time by emailing support@adayback.ai or using an online cancellation method we make available. We will confirm the effective date and any remaining obligation in writing. For an annual commitment, cancellation for convenience ordinarily takes effect at the end of the committed term; remaining installments follow their original schedule. Termination following an approved guarantee refund under section 7, earlier termination rights under section 18, and applicable law still apply.
The free introductory period, exact first paid billing date, 12-month paid term, automatic renewal duration, monthly price, total annual commitment, cancellation deadline, and cancellation method must appear prominently in the Order before you accept it. We will provide renewal notices and cancellation options required by applicable law. Unless a price change is disclosed before renewal with a reasonable opportunity to decline, the current monthly price continues for the renewal term. We will not increase fees during an agreed fixed term without your consent.
6 Ongoing service, weekly check-ins, and seat eligibility
Ongoing technology service covers updates, monitoring of the agreed deployment, and maintenance within the agreed scope. Monitoring does not mean continuous human supervision, an audit of every action, or guaranteed detection of every error. Availability, response times, and any service levels apply only as stated in your Order.
Ongoing technology service includes access to one scheduled weekly webinar/check-in and continued education and training for one designated individual. The designated individual may attend the weekly check-in to bring questions and receive guidance about agent use, skills, and the agreed deployment. This is group webinar/check-in access, not a separate private weekly coaching appointment.
The included seat is assigned to the same named individual and tied to the serial number of the original computer on which the agent was set up. During onboarding, we record the designated individual and that computer serial number with the service record. This is one seat for one person and one original computer, not a company-wide or shared entitlement. Seats, attendance, and access may not be shared, rotated among employees, transferred to another person, or used for additional computers under the included seat.
The service also includes a monthly check-in to review agent use, questions, and opportunities to improve efficiency, plus one monthly support, agent update, skills, or training request relating to the agreed deployment, or an applicable update proactively provided by A Day Back. These services support keeping the agreed agents updated, actively utilized, and efficient. Work remains within the agreed deployment scope and agent permissions; new integrations, additional computers, new department implementations, and other scope expansions require separate written agreement and pricing before work begins.
The four launch meetings in section 2 remain separate from these ongoing benefits. Unlimited support and additional training seats are not included. Weekly access and continued training apply while the ongoing service is active.
7 Initial launch money back guarantee
For eligible businesses, if the projected annual value created by the initial launch program is less than the initial launch program fee paid, we will refund every dollar of that fee. To qualify for this guarantee, your business must not already have AI agents running when the program starts. This condition limits eligibility for a guarantee claim only; businesses with existing AI agents may still purchase the program. Ordinary use of ChatGPT or similar tools for manually directed conversations does not, by itself, disqualify a business. For this guarantee, an AI agent is an automated AI workflow that carries out business tasks with limited ongoing human direction. This guarantee covers the initial launch fee only. It does not cover ongoing service fees already paid, equipment, third-party charges, or separately purchased implementations.
Value is measured using the projected value of the agreed workflow over 12 months. Before implementation, we will document with you the baseline, eligible workflow, and measurement method. At the fourth and final package meeting, we will assess annual value using observed results and reasonable, documented assumptions about continued use. Value may include employee time saved at an agreed labor rate, documented cost reductions, and incremental gross profit reasonably attributable to the workflow, without double counting. Time returned may create capacity without reducing payroll; it counts only if the agreed measurement method includes it. Revenue alone is not profit. The projection period and assumptions will be defined and agreed before purchase. You do not need to wait 12 months to submit a claim; the seven-day claim deadline below applies.
You will provide reasonably available records and cooperate with reasonable implementation, usage, and measurement steps disclosed before purchase. We will disclose any eligibility conditions before purchase and will not impose new conditions afterward. If we fail to establish an agreed measurement method, that failure alone will not eliminate an otherwise applicable guarantee.
To claim the initial launch money-back guarantee, email support@adayback.ai within seven calendar days after your fourth and final package meeting. Include reasonably available supporting information with your request. We may request relevant clarification and will provide a written determination within 30 days after receiving a reasonably complete claim. Approved refunds will be issued within 30 days of approval. These timing rules do not shorten mandatory legal rights.
Approval of a refund under this guarantee terminates the initial launch engagement and its associated ongoing technology service. The remaining monthly service commitment ends on approval, and all future installments under that commitment are canceled. Submitting a claim alone does not terminate the engagement; termination follows approval. A refund does not transfer ownership of our reusable methods or permit copying or reselling them. Rights to the refunded proprietary implementation end upon refund, subject to an orderly transition and your continuing ownership of your data. We will not erase customer records or disable customer-owned hardware to enforce a refund.
Outside an applicable guarantee, section 18, or mandatory legal rights, refunds depend on the cancellation provisions accepted in your Order. These Terms do not retroactively narrow a guarantee represented to you when you purchased.
8 Customer cooperation and access
You will designate an authorized contact, provide accurate information and representative examples, arrange lawful access to agreed systems, and review requested decisions in a reasonable time. You are responsible for having the rights and permissions needed to provide business, employee, and customer information for the agreed processing.
Access must use approved accounts, permissions, and secure credential methods. Do not place passwords or sensitive records in public website forms. Maintain appropriate backups and retain administrator access to your own systems. Delays caused by unavailable access or approvals may change the project schedule; additional charges require written agreement.
9 AI limitations and human oversight
AI can generate inaccurate, incomplete, outdated, biased, or fabricated information and can take unintended actions. Review outputs before relying on them and maintain human supervision appropriate to the task. Our services do not replace licensed legal, tax, accounting, medical, engineering, or investment professionals.
We will agree on permitted systems, actions, and human approval points for each workflow. Financial transactions, binding commitments, sensitive record changes, and other consequential actions require the authorization defined for that workflow. Additional training or updates do not automatically expand the agent’s authority.
You retain responsibility for business decisions and authorized instructions. This does not excuse our failure to perform our contractual obligations. Case studies, examples, estimates, and demonstrations do not promise a particular number of hours saved, revenue increase, staffing reduction, or other outcome. The express guarantee in section 7 remains applicable on its terms.
10 Third party platforms and deployment
Services may depend on third-party AI providers, software, APIs, cloud services, connectivity, and hardware. You must maintain the required licenses and comply with applicable provider terms. Providers can change pricing, permissions, functionality, availability, and acceptable use policies.
Installing software on a local computer does not necessarily keep all data on that device. Agreed workflows may transmit data to external providers. Deployment architecture, provider choices, access, and material data flows must be reviewed during scoping. We will inform you when a material provider change requires approval or a change in the agreed scope.
11 Customer data and confidentiality
You retain ownership of the data and materials you provide. You grant us permission to access, process, and transmit them only as reasonably necessary to perform the agreed services, maintain security, and comply with law. Access by our personnel and contractors must be limited to their work and subject to confidentiality obligations.
Each party will protect the other’s nonpublic business information with reasonable care and use it only for the engagement. Confidentiality does not cover information lawfully known without restriction, independently developed, rightfully received from another source, or public without a breach. Required legal disclosures are permitted, with advance notice where lawful.
We will not use your identifiable confidential information to train a general-purpose model or share it with other clients without separate written permission. Processing by your selected third-party providers is subject to their terms and settings, which should be reviewed before sending sensitive information. Any cross-client reporting must use information that does not identify you or expose confidential data.
Personal information collected through the website is addressed in our separate Privacy Policy. Processing personal information for customers may also require a data processing agreement. Do not provide specially regulated data unless we have first agreed in writing on the necessary safeguards and agreements. We do not represent that every deployment is suitable for every regulatory use.
12 Security and incident cooperation
We will use reasonable safeguards appropriate to the agreed services. No system is entirely secure. You are responsible for the devices, accounts, networks, and permissions you control. Each party will notify the other without undue delay of a confirmed security incident affecting the other’s data or access within its control and cooperate in reasonable containment and remediation, subject to applicable notification requirements.
Our access ends when no longer needed for the agreed work. At termination, the parties will coordinate revocation of credentials and access. Retention, export, and deletion obligations follow the Order, any data processing agreement, applicable law, and the Privacy Policy. Confidentiality continues for information retained lawfully.
13 Intellectual property and usage rights
We and our licensors retain ownership of our preexisting and reusable software, agent frameworks, prompts, training materials, templates, methods, and improvements that do not disclose your confidential information. You retain your preexisting materials and customer data.
After payment, you receive a nonexclusive right to use the delivered implementation internally for the business identified in the Order. That right continues for paid, delivered configurations unless the Order clearly states a subscription license applies or the implementation is refunded under section 7. Hosted services, ongoing updates, and third-party licenses remain subject to their applicable paid terms.
You may not resell, sublicense, publish, or commercially distribute our proprietary materials without written permission, except as permitted by applicable law or an applicable open-source license. Rights to custom deliverables that differ from these defaults must be stated in the Order. AI output may resemble others’ output and may not qualify for exclusive intellectual property protection. You may use outputs for your lawful business purposes, subject to third-party rights and applicable provider terms.
14 Acceptable use and communications
Do not use the website or services for unlawful conduct, fraud, unauthorized access, security attacks, infringement, harassment, unlawful discrimination, deceptive impersonation, or unsolicited communications prohibited by law. Do not evade access controls or ask an agent to act beyond its approved authority.
If a workflow sends messages, records calls, or processes information about other people, you are responsible for providing lawful instructions and obtaining necessary notices and consents. We remain responsible for our own legal obligations. Accepting these Terms does not by itself authorize marketing calls or texts from us; required marketing consent is obtained separately.
15 Service warranty and disclaimers
We will perform agreed implementation and maintenance work with reasonable care and skill. Notify us of a material failure so we can investigate and reasonably correct affected work. If a material breach is not corrected, section 18 applies.
Except for express obligations in these Terms or your Order and rights that cannot lawfully be excluded, the website, AI outputs, and third-party functionality are provided as available. We do not warrant uninterrupted operation, error-free output, fitness for every purpose, or achievement of a specific business result. To the extent permitted by law, other implied warranties are disclaimed. This section does not override the express money-back guarantee.
16 Limits on liability
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, arising from these Terms or the services.
To the extent permitted by law, each party’s total aggregate liability arising from the engagement will not exceed the fees paid or payable to A Day Back under the affected Order during the 12 months before the event giving rise to the claim. For website-only claims without an Order, A Day Back’s total liability is limited to $100.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, liability that cannot legally be limited, your obligation to pay valid agreed fees, either party’s misuse of the other’s intellectual property, or A Day Back’s express refund obligations. A court may decline to enforce a limit where applicable law does not permit it.
17 Claims arising from misuse
For business customers, you will defend and indemnify A Day Back against third-party claims and reasonable related costs to the extent caused by your unlawful use, materials you supply without required rights, or instructions you give that violate others’ rights. This obligation does not apply to the extent a claim results from our breach, negligence, or misconduct.
We will promptly notify you of a claim, allow reasonable control of the defense, and cooperate at your expense. No settlement may admit fault for us, impose nonmonetary obligations on us, or fail to release us without our written consent, which will not be unreasonably withheld.
18 Suspension and termination
Either party may terminate an affected Order for a material breach that remains uncured 30 days after written notice describing it. We may immediately suspend only the affected access where reasonably necessary to address unlawful activity, a security threat, or a provider requirement, and will give notice as soon as reasonably practical. Suspension must be proportionate to the issue.
If we terminate for convenience, or you terminate for our uncured material breach, we will refund prepaid fees for services not delivered, and you will owe no fees for future services after the effective termination date. For other early cancellation, earned fees and any valid remaining commitment follow your Order and applicable law. Guarantee rights are preserved.
At termination, ongoing services and subscription-only access end. We will reasonably cooperate in returning or exporting customer data in our possession using available standard formats and in removing our access. Substantial transition work may be separately quoted, but we will not withhold your customer records to enforce payment. Paid usage rights survive as stated in section 13. Confidentiality, valid payment obligations, intellectual property, liability limits, and dispute provisions survive as applicable.
19 Governing law and disputes
These Terms are governed by Utah law, excluding its conflict-of-law rules. Subject to mandatory rights and jurisdictional requirements, disputes will be brought in the state courts in Salt Lake County, Utah, or the federal courts serving that county.
Before filing suit, the parties will attempt in good faith to resolve a dispute through written notice and discussion for 30 days. This does not prevent urgent protective relief, a timely filing needed to preserve rights, or a complaint to a regulator. These Terms do not require arbitration or waive rights that applicable law makes nonwaivable.
20 Changes and general provisions
We may update these Terms prospectively and will identify the effective date. Material changes affecting an existing Order require the notice and consent required by that Order and applicable law. Posting revised terms alone does not change an existing fixed-term price, remove an accrued guarantee, or alter an existing dispute.
The parties are independent contractors. Neither may bind the other without authorization. Neither is responsible for delays caused by events reasonably beyond its control, but the affected party must provide reasonable notice and mitigate the effects. Such events do not create charges for undelivered services or remove mandatory refund rights.
If a provision is unenforceable, the remaining provisions continue to the extent lawful. Failure to enforce a provision once does not waive later enforcement. These Terms and the accepted Order form the agreement on their subject, subject to applicable law and any separately signed agreement. Electronic acceptances and notices may be used where lawful.
